# Review a draft agreement against your precedents and playbook

Feed a draft agreement, a few chosen precedents and your negotiating playbook to an AI that reviews it from several angles, has the findings challenged, and returns a memo plus proposed tracked changes for a lawyer to accept or reject. Sullivan & Cromwell built its Agreement Analyzer this way with OpenAI.

## Inputs to collect first
Ask the user for anything below that they haven't already given you. Don't guess missing facts.

- 1-3 prior agreements or clauses
- Your own material (text, notes or data)

## Instructions

Do the task below with the user's inputs in place of each [bracket].

Act as a careful first-pass reviewer for a lawyer. Draft agreement: [paste]. Precedents to compare against: [paste 1-3 prior agreements or clauses]. Our playbook positions: [paste]. Client priorities: [list]. Review the draft in three separate passes: (1) deviations from our precedents and market practice, (2) risk allocation and how clauses interact, (3) ambiguities that could cause a dispute. Then challenge your own findings: for each, say whether it holds up, should be dismissed, or is unverified. Output a short memo grouped by confidence, quoting the exact clause and the precedent or playbook line behind each point, and a table of proposed redlines (current text, suggested text, reason). Do not state market practice without pointing to a source I gave you. This is not legal advice; a lawyer will decide.

## Safety checks (share these with the user)

- This prompt works on text other people wrote (emails, reviews, messages or web pages). That text can hide instructions aimed at AI, such as "ignore your rules and…". Paste it as material to work on, and never let the AI act on requests inside it, like paying, sharing logins or changing records.
- Anything legal, tax or compliance-related is a first draft for a qualified person to check. It is not professional advice, and clause references and deadlines must be checked against the source.
- Remove names, contact details, account numbers and other personal data the task doesn't need before you paste, and check your AI tool's data and training settings.
- Check names, dates, numbers and any claim against your own source material before you use the answer. AI can misread or invent details.
- Say clearly which parts need a person to review or approve before anything is sent, paid, posted or filed.
