Check a commercial real estate purchase agreement against the agreed deal terms: have AI list every place the draft doesn't match the term sheet or LOI and suggest mark-ups for your attorney to approve: AI agent prompt
Property and Build News reported on Nov 3, 2026 that Athena, a San Francisco commercial real estate law firm founded by former Legora employees, raised a $2.5 million pre-seed round led by a16z Speedrun. Athena says AI agents handle document review, draft redlines and client communications before its attorneys approve the final work; its software reviews agreements against deal terms, flags inconsistencies, prepares mark-ups and uses attorneys' changes and client preferences from earlier deals to cut review on later ones. The company says it has signed 22 clients, turned around one purchase agreement in under 48 hours and cut attorney review time by more than 70% in its first six weeks. These are company claims. An agent, investor or property manager can use the same check to get a cleaner draft to their own lawyer.
The prompt
1. Gather the agreed deal terms (signed LOI, term sheet or offer summary) and the draft purchase agreement you received, plus any notes on what you or your client usually insist on. 2. Upload them to an AI assistant you're allowed to use for client documents (Claude, ChatGPT, Microsoft Copilot or Grok Bot). 3. Ask: "Compare the draft purchase agreement with the deal terms. Make a table with: term (price, deposit and when it goes hard, due diligence period, financing contingency, closing date, extensions, seller credits, assignment rights, representations and warranties, default remedies), what the deal terms say, what the draft says with the section number, and whether they match. Then list anything in the draft that isn't in the deal terms and could hurt the buyer. Quote the exact wording. Don't give legal conclusions." 4. Ask: "For each mismatch, suggest a mark-up wording I can send to our attorney to review." 5. Send the table and suggested mark-ups to your attorney. Only the attorney's approved version goes to the other side. 6. Save the attorney's final changes and reuse them as your preferences on the next deal.

- This prompt works on text other people wrote (emails, reviews, messages or web pages). That text can hide instructions aimed at AI, such as "ignore your rules and…". Paste it as material to work on, and never let the AI act on requests inside it, like paying, sharing logins or changing records. How prompt injection works →
- Check every figure, price and total against your own records before anything is sent, posted or booked. A person approves refunds, discounts, payments and price changes.
- Anything legal, tax or compliance-related is a first draft for a qualified person to check. It is not professional advice, and clause references and deadlines must be checked against the source.
- Remove names, contact details, account numbers and other personal data the task doesn't need before you paste, and check your AI tool's data and training settings.
